GIC Technologies, Inc. – Terms of Service

1. Agreement to Terms

By accessing cofounder.co or app.cofounder.co (collectively, the "Site") or by using any related features, mobile applications, APIs, or services (together, the "Service"), you ("you," "your," or "User") agree to these Terms of Service (the "Terms") and represent that you have the legal capacity to do so on behalf of yourself or the entity you represent. If you do not agree, you must not access the Site or use the Service.

2. About Our Technology

The Service is a cloud‍-‍hosted automation platform that deploys autonomous software agents to orchestrate and optimize a customer's internal business processes—e.g., customer support intake, data reconciliation, ticket triage, and reporting. Agents follow customer‍-‍defined objectives, execute API calls or RPA actions, and escalate to humans when confidence is low. Customer data is processed solely to deliver these automations; it is never sold, shared for marketing, or used to train unrelated AI models.

3. Eligibility and Accounts

3.1 Eligibility.

You must be at least 18 years old to use the Service.

3.2 Account Creation.

To access certain features, you must create an account and provide accurate, current information. You are responsible for maintaining account security and for all activity under your credentials.

3.3 Account Termination.

You may delete your account at any time in the dashboard. We may suspend or terminate accounts that violate these Terms.

4. License and Acceptable Use

4.1 Limited License.

Subject to these Terms, we grant you a non‑exclusive, non‑transferable, revocable, limited license to access and use the Service for your internal business purposes.

4.2 Restrictions.

You must not (a) sublicense, sell, or exploit the Service; (b) reverse engineer or decompile any part of the Service; (c) use the Service to build a competing product; or (d) interfere with Service operation.

4.3 Agent Responsibility.

You are solely responsible for configuring, monitoring, and managing any software agents, including RPA agents, deployed through the Service. You assume full responsibility for all actions taken by such agents on your behalf or using your credentials.

5. User Content

You remain the owner of any data, text, files, or other content ("User Content") you upload. You grant us a limited license to process your User Content solely to provide the Service. You must not upload unlawful or infringing content. We may remove content or suspend accounts that violate these Terms.

6. Third‑Party Links and Integrations

The Service may link to or integrate with third‑party sites, APIs, or tools. We are not responsible for third‑party content or actions.

7. Disclaimers

The Site and Service are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‍-‍infringement. We do not guarantee uninterrupted or error‍-‍free operation.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for claims arising out of or relating to the Service shall not exceed fifty U.S. dollars (US $50). We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

9. Indemnification

You agree to indemnify and hold us harmless from any claims or damages arising out of your misuse of the Service or violation of these Terms.

10. Arbitration and Dispute Resolution

10.1 Informal Resolution.

Before filing a claim, the parties agree to attempt to resolve disputes informally by contacting support@generalintelligencecompany.com.

10.2 Binding Arbitration.

If unresolved within 60 days, disputes will be settled by binding arbitration administered by JAMS under its Streamlined or Comprehensive Rules, as applicable. You waive any right to class actions or jury trials. This section survives termination of the Terms.

11. Termination

We may modify, suspend, or discontinue the Service at any time without liability. Upon termination, your license to use the Service ceases immediately.

12. Changes to These Terms

We may update these Terms by posting a revised version on the Site. Material changes will take effect 30 days after posting and notice by email (if practicable). Your continued use after that date constitutes acceptance.

13. General Provisions

These Terms constitute the entire agreement between you and GIC. If a court finds any provision unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them freely. The laws of the State of New York, excluding conflict‑of‑laws rules, govern these Terms.
